1. About Xtralp
Xtralp is a technology marketplace platform that connects individuals and families ("Members") with independent Companions — both paid independent contractors and volunteers — for non-medical, everyday social support services. Xtralp does not employ, staff, place, or provide Companions. Xtralp is not a home care agency, companion care agency, staffing agency, nurse registry, or healthcare provider.
Xtralp provides software and technology infrastructure that enables Members to discover, book, and pay independent Companions directly. Independent Companions on the Platform are not Xtralp employees or agents. Xtralp does not supervise, direct, or control how Companions perform services.
2. Eligibility
To use Xtralp, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts under the laws of the State of Florida
- Provide accurate, truthful, and complete information during registration
- Not have been previously suspended or removed from the Platform
- Agree to comply with all applicable federal, Florida state, and local laws and regulations
3. User Roles
3.1 Members
Members are individuals who use the Platform to find and book companionship and lifestyle assistance services for themselves. Members are responsible for providing accurate information about their needs and for maintaining respectful conduct with all Companions.
3.2 Companions — Paid Independent Contractors
Paid Companions are independent contractors who independently offer non-medical support services through the Platform in exchange for compensation. Xtralp does not set, control, or guarantee Companion compensation rates. Paid Companions are NOT employees, agents, or representatives of Xtralp. Each Paid Companion is required to execute Xtralp's separate Independent Contractor Agreement prior to offering services. By registering as a Paid Companion, you agree to:
- Complete all required onboarding steps including identity verification and background check authorization
- Execute the Xtralp Independent Contractor Agreement and comply with all terms therein
- Offer services only within the categories listed on their independent profile
- Only offer services for which you hold any required certifications, licenses, or permits
- Maintain professional and respectful conduct with all Members at all times
- Honor confirmed bookings or provide at least 24 hours' notice of cancellation
- Comply with all applicable federal, Florida state, and local laws and regulations
- Comply with Florida's mandatory reporting obligations under Chapter 415, Florida Statutes
3.3 Companions — Volunteers
Volunteer Companions are individuals who offer non-compensated social companionship and lifestyle assistance through the Platform without expectation of payment. Volunteers are not employees or contractors of Xtralp and receive no wages, fees, or benefits. Each Volunteer is required to execute Xtralp's separate Volunteer Provider Agreement prior to offering any services. Volunteers are subject to the same background screening, code of conduct, scope-of-service limitations, and mandatory reporting obligations as Paid Companions.
3.4 Care Circle
Care Circle members are family members or authorized contacts designated by a Member to coordinate and monitor care on their behalf. Care Circle members act within the scope of permissions granted by the primary Member account holder and have no independent rights to authorize payments or modify the Member's profile without permission.
4. Services Offered on the Platform
Xtralp facilitates bookings for non-medical lifestyle, social companionship, and light assistance services only. All services are provided directly by independent Companions — not by Xtralp. The following service categories are currently available:
- Companionship: In-person social visits, meaningful conversation, and shared activities.
- Home Cleaning & Tidying: Light assistance with tidying, dusting, and vacuuming. Not a professional cleaning service.
- Light Plant & Garden Help: Watering, light weeding, and potting. Does not include lawn mowing or power equipment.
- Meal Prep Together: Simple home cooking side-by-side. Companions do not administer dietary programs or feed Members.
- Reading Companion: Reading aloud, book discussions, and literary companionship.
- Holiday Decoration & Takedown: Assistance with setting up and removing seasonal or holiday decorations.
- Game & Activity Partner: Card games, board games, puzzles, and recreational activities.
Services NOT offered include: medical care, nursing, clinical assessments, therapy, personal care assistance (bathing, grooming, dressing, toileting, or transferring), medication administration, transportation, financial advising, legal assistance, and any service not explicitly listed above.
5. Important Limitations and Liability Disclaimers
5.1 Non-Medical Nature of All Services
All services on the Xtralp Platform are strictly non-medical and non-clinical in nature. No Companion on this Platform is authorized to provide medical advice or diagnosis, administer medications, perform clinical assessments, or act in any licensed healthcare capacity.
5.2 No Transportation Services
Xtralp does not facilitate, arrange, or authorize transportation of Members in any vehicle by any Companion. Walking companion services are limited to accompanying a Member on foot in the immediate vicinity of their residence.
5.3 Financial Safety
Companions are strictly prohibited from accepting gifts, cash, checks, credit cards, or any items of monetary value directly from Members outside the Platform. All payments must be processed exclusively through the Xtralp Platform.
5.4 Vulnerable Adult Protections — Florida Law
Pursuant to Chapter 415, Florida Statutes, all Companions are subject to mandatory reporting obligations. If a Companion has reasonable cause to suspect a vulnerable adult has been abused, neglected, or exploited, they must immediately report to the Florida Abuse Hotline (1-800-962-2873) and notify Xtralp at legal@xtralp.com.
6. Bookings and Cancellations
A booking is confirmed when the Companion accepts the request and both parties receive a confirmation notification. Members may cancel subject to the cancellation policy displayed at checkout. Cancellations with less than 24 hours' notice may be subject to a cancellation fee. Companions who repeatedly cancel confirmed bookings may have their accounts suspended or removed from the Platform.
7. Payments and Fees
All payments are processed securely through Stripe. Xtralp does not store payment card numbers or sensitive financial credentials. Xtralp charges a service commission on each completed paid booking, displayed to Companions during onboarding. Volunteer Companions receive no compensation — direct payment from a Member to a Volunteer is strictly prohibited. Certain services have minimum booking durations (e.g., 2-hour minimums) disclosed at time of booking.
8. Companion Verification
All Companions are subject to identity verification via government-issued photo ID, background check screening by Xtralp's approved FCRA-compliant vendor, profile review and approval, and ongoing compliance with Xtralp's Code of Conduct. While Xtralp takes reasonable steps to screen Companions, we do not guarantee that any Companion is safe, reliable, or appropriate for any specific user's needs.
9. User Conduct
All users agree not to provide false information, harass or abuse other users, circumvent the Platform by arranging direct payments, accept or offer gifts outside the payment system, use the Platform for any unlawful purpose, or engage in any conduct that compromises the safety or dignity of a vulnerable adult.
10. Ratings and Reviews
After a completed booking, both Members and Companions may leave ratings and reviews. Reviews must be honest, respectful, and based on genuine experience. Xtralp reserves the right to remove reviews that violate content standards. False or retaliatory reviews may result in account suspension.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: Xtralp is not liable for the acts, omissions, or misconduct of any Companion or Member. Xtralp does not guarantee the availability, quality, safety, or suitability of any service. Xtralp's total liability for any claim shall not exceed the total fees paid by or to that user in the 3 months preceding the claim. Xtralp is not liable for any indirect, incidental, special, consequential, or punitive damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Xtralp and its officers, directors, members, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, any services you provide or receive, or any harm caused to a Member or vulnerable adult by your conduct.
13. Intellectual Property
All content, branding, software, and technology on the Xtralp Platform — including the Xtralp name, logo, and platform design — are the intellectual property of Xtralp or its licensors. You may not copy, reproduce, distribute, or create derivative works from any Platform content without prior written permission.
14. Privacy
Xtralp's collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described therein.
15. Termination
Xtralp reserves the right to suspend or terminate any user account at any time for reasons including violation of these Terms, fraudulent activity, harmful conduct, failure to pass background screening, suspected elder abuse or exploitation, or repeated negative reviews.
16. Account Deletion and Data Closure
You may request deletion of your account at any time through the app settings or by emailing support@xtralp.com with subject "Account Deletion Request." We will acknowledge within 5 business days and complete deletion within 30 days. Certain data may be retained where required by law (transaction records, background check consents, mandatory report records).
17. Modifications to These Terms
Xtralp reserves the right to modify these Terms at any time. We will notify users of material changes by email or in-app notification at least 14 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida. Any dispute shall be resolved first through good-faith negotiation; if unresolved within 30 days, through binding arbitration under AAA Consumer Arbitration Rules in Hillsborough County, Florida. ALL DISPUTES MUST BE BROUGHT INDIVIDUALLY — NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION. Claims under Chapter 415, Florida Statutes, are excluded from mandatory arbitration.
